5 Tämä dokumentti on käännös englanninkielisestä alkuperäiskappaleesta General Terms and Conditions. Alkuperäinen englanninkielinen dokumentti on määräävä ja juridisesti sitova. Osa 1 Yleistä 1. WellStar GmbH & Co KG, Charlottenstrasse 4, Berliini, Saksa, jota edustaa WellStar Beteiligungs GmbH samassa osoitteessa ja jota puolestaan edustaa toimitusjohtaja Christian Wiesner (jäljempänä WellStar ) operoi Webstar-vitaliteettiportaalia ja sosiaalista yhteisöä (jäljempänä webstar ) verkkotunnuksella ja siihen liitetyillä alitunnuksilla. 2. Teknisen palvelun tuottajana WellStar tarjoaa kolmansille osapuolille online-markkinapaikan, jossa nämä tarjoavat myytäväksi tuotteita ns. webstar-kaupoissa. Kun jonkin tällaisen osapuolen kauppatavara tilataan webstarin kautta, syntyy sopimus ainoastaan tämän kyseisen kaupan operaattorin kanssa ja kyseisen kaupan operaattorin Yleiset ehdot astuvat voimaan. Nämä ehdot löytyvät kustakin webstar-kaupasta oikean laidan vihreästä kentästä otsikolla Provider Information (toimittajatiedot). 3. WellStar tarjoaa myyntiin myös omia tuotteitaan webstarissa. Jos näitä tuotteita tilataan suoraan WellStarilta webstarin kautta, syntyy sopimus WellStarin kanssa ja tämän dokumentin kuvaamat Yleiset ehdot astuvat voimaan. Osa 2 Sopimuksen laajuus 1. Näitä Yleisiä ehtoja sovelletaan kaikkiin sopimussuhteisiin WellStarin ja sen asiakkaiden (jatkossa ostajat ) välillä, elleivät osapuolet ole erityisesti tehneet muun sisältöistä kirjallista sopimusta. 2. Ostajan tai kolmannen osapuolen määrittelemät ehdot eivät muodosta osaa sopimuksesta, vaikka WellStar ei vastustaisikaan tällaisia ehtoja. Osa 3 Kaupan päättäminen, hinnat 1. WellStarin myytäväksi esittämä tuotevalikoima merkitsee ostajalle ei-sitovaa kutsua tulla ostamaan tuotteita WellStarilta. Kaikki esillä olevien ja hinnoiteltujen tuotteiden tiedot ja hintaluettelot web-sivulla tai muussa WellStarin julkaisemassa materiaalissa on erikseen vahvistettava. Ne ovat voimassa vain niin kauan kuin varastoa riittää. 2. Luetellut hinnat ovat loppuhintoja eli ne sisältävät lainmukaisen arvolisäveron (ALV) ja muut hinnan osat. Ostaja vastaa toimituskuluista. Saksan ALV:a ei veloiteta EU:n ulkopuolelle toimitettavista tuotteista. 3. Kun ostaja tilaa haluamansa tuotteet täyttämällä ja lähettämällä online-lomakkeen internetissä, sähköpostilla, faksilla, puhelimitse tai postitse, hän tekee sitovan tarjouksen ostosopimuksen tekemiseksi. Tarjouksesta tulee sitova viimeistään silloin, kun WellStar vastaanottaa tilauksen. Lähettämällä tilauksen WellStarille ostaja antaa rajoituksettoman vahvistuksen sopimuksen syntymisestä. 4. WellStar ei ole velvollinen hyväksymään ostajan ostotarjousta tai yksittäisiä tilauksia. Tämä päätös on täysin WellStarin omassa harkinnassa. Jos tilausta ei toteuteta, WellStar ilmoittaa tästä viipymättä ja palauttaa mahdolliset ostajan jo tekemät maksut pikaisesti. 5. WellStar ilmoittaa ostajille heidän tilaustensa vastaanottamisesta, mutta tämä ei merkitse ostotarjouksen hyväksymistä. Sopimus syntyy vasta, kun WellStar on hyväksynyt tilauksen toimittamalla tuotteet, ilmoittamalla tuotteiden lähettämisestä, tai kirjallisella tilausvahvistuksella. Ostajan oikeudet keskeyttää tai peruuttaa sopimus jäävät voimaan. WellStar tallentaa sopimuksen, joka ei ole saatavilla ostajalle. Sopimus tehdään saksan kielellä. 6. WellStarin palvelut ovat ehdollisia sillä oletuksella, että ostajan toimittamat tilaustiedot ovat todenmukaisia. Jos ostaja ei täytä tätä ehtoa, WellStar on myös oikeutettu perumaan syntyneen sopimuksen. Osa 4 Toimittaminen, Sopimuksen toteutuspaikka 1. Toimitukset tehdään ostajan ilmoittamaan osoitteeseen/toimitusosoitteeseen. Tämä koskee ainoastaan Saksaa, Itävaltaa, Sveitsiä, Tanskaa, Unkaria, Puolaa, Romaniaa, Slovakiaa, Tšekin tasavaltaa, Italiaa, Ruotsia, Suomea, Norjaa, Alankomaita, Belgiaa, Eestiä, Espanjaa, Iso-Britanniaa, Irlantia ja Portugalia. Muiden maiden ostajat eivät voi tilata tuotteita, kunnes toisin ilmoitetaan. Ostajat eivät voi itse noutaa tilaamiansa tuotteita. 2. WellStar veloittaa ostajalta hinnastossaan eritellyt lisäkulut toimittamista, pakkaamista ja vakuutuksia varten. 3. Toimitusajankohdat eivät ole sitovia, elleivät sopimusosapuolet ole erityisesti sopineet toimitusajankohtaa sitovaksi. Toimitukseen saattaa kulua neljä viikkoa tai enemmän, jos toimitus tehdään Saksan ulkopuolelle. 4. Teollinen toiminta, itsenäisen valtion toimenpiteet, raaka-ainepula, liikenteen keskeytykset, poikkeukselliset olosuhteet ja vastaavat, riippumatta siitä vaikuttavatko nämä olosuhteet WellStariin tai sen alihankkijoihin, vapauttavat WellStarin toimitusvelvoitteistaan olosuhteiden vaikutusajaksi ja niiden täyteen kattavuuteen saakka, sekä vapauttavat sen lopullisesti toimitusvelvollisuudesta, jos nämä olosuhteet estävät toimituksen. Tätä ei sovelleta, jos WellStar itse on vastuussa kyseessä olevista olosuhteista. Ostajaa informoidaan pikaisesti tällaisista olosuhteista ja niiden mukanaan tuomista mahdollisista toimitushaasteista. 5. Sopimuksen toteutuspaikka on WellStar-yhtiön rekisteröity toimisto. WellStarilla on oikeus toimittaa tuotteita muista paikoista. Osa 5 Maksuehdot, Omistusoikeus 1. Ellei ole toisin sovittu, WellStar toimittaa ainoastaan ennakkoon maksettuja tuotteita. 2. Jos toimituksia tehdään laskua vastaan, esitetyt summat on maksettava välittömästi ja vähennyksittä. Alennusta ei myönnetä. 3. Jos laskua ei makseta tai se palautetaan, WellStarilla on oikeus lisätä laskuun kuluja tällä hetkellä 6,00 - ostajan maksettavaksi. Kaikki oikeudet pidätetään mahdollisten muiden korvauksien lisäämiseksi. 4. Ostaja ei saa tuotteiden omistusoikeutta ennen kuin ostohinta on kokonaisuudessaan maksettu. Tuotteen ostaja on oikeutettu pitämään tuotetta hallussaan ja käyttämään sitä sopimuksen mukaisesti omistusoikeuden siirtymiseen saakka sillä edellytyksellä, että hän täyttää maksuvelvollisuutensa kyseessä olevan ajan. 5. Jos ostaja ei ole kuluttaja, seuraavat lisäehdot astuvat voimaan alikohdan 1 lisäksi: Ostajalla on oikeus myydä tuotteita normaalin liiketoimintansa osana. Kun hän luovuttaa omistusoikeuden pidätyksen alaisena olevia tuotteita eteenpäin, hänen on tuolla hetkellä siirrettävä tuotteen luovutushintaan WellStarin jäljellä olevan laskun suuruinen maksusitoumus WellStarille. Tämä siirto on esitettävä pyydettäessä. WellStar hyväksyy tällöin siirron. Osa 6 Laiminlyönti 1. Jos ostaja laiminlyö saatavien maksun, WellStar on oikeutettu veloittamaan viivästyskoron. Tämä ei poissulje mahdollisia korkeampia korvausvaatimuksia kyseessä olevan viiveen aiheuttamista vahingoista. 2. Jos ostaja laiminlyö toimituksen vastaanottamisen tai rikkoo jotakin muuta yhteistyövastuutaan, hänen täytyy korvata aiheuttamansa vahinko WellStarille. Osa 7 Reklamaatiot ja kompensaatiot 1. WellStarin laskun sisältöön tai summaan liittyvät vaatimukset täytyy toimittaa WellStarille 14 vuorokauden kuluessa laskun vastaanottamisesta. Tämä ei vaikuta mahdollisiin juridisiin vaatimuksiin määräajan jälkeen. 2. Ostaja voi saada vaatimuksilleen kompensaatiota WellStarilta vain, jos vaatimukset ovat kiistattomia ja juridisesti päteviä. Ostaja voi käyttää takavarikointioikeutta ainoastaan siinä tapauksessa, jos sellainen seuraa samasta sopimuksesta. Osa 8 Takuut ja vastuut 1. Takuuehdot ja vastuut on määritelty lakisääteisesti, täsmällisemmin sanottuna Saksan siviilioikeuden säädöskokoelman (German Civil Code, BGB) kappaleissa 434 ff, ellei jäljempänä toisin määritellä. 2. Jos vika ei ilmene alle kuuden kuukauden jälkeen tuotteen siirtymisestä ostajalle, ostajan täytyy todentaa, että tuote oli viallinen jo riskin siirtyessä hänelle. Jos tämä ei onnistu, WellStar saattaa tehdä johtopäätöksen, että vika ei ollut olemassa riskin siirtyessä ostajalle. 3. Selvästi vaurioitunut pakkaus tulee reklamoida kuljetuspalvelulle välittömästi sitä vastaanotettaessa. 4. WellStar on vastuussa tarkoituksellisista ja törkeistä laiminlyönneistä. Lievien laiminlyöntien tapauksessa WellStar on vastuussa vain niistä rikkeistä, joiden korjaaminen mahdollistaa sopimuksen täyttämisen kokonaisuudessaan asiakkaan normaalisti luottaessa ja omatessa syyn luottaa vastuiden täyttämiseen (pääasialliset sopimusvastuut), sekä tapauksissa, joissa vaurio on aiheutunut henkilön vammautumisen, raajavaurion tai terveydenmenetyksen vuoksi. 5. Jos vaurio ei johdu henkilön vammautumisesta, raajavauriosta tai terveydenmenetyksestä laiminlyönnin korvausvastuu rajoittuu sellaisiin vaurioihin, joita tyypillisesti tapahtuu kyseisen kaltaisissa tilanteissa. 6. Edellä mainittuja säädöksiä sovelletaan myös WellStarin velvoitteita toteuttaviin asiamiehiin ja juridisiin edustajiin. 7. WellStar ei anna tuotteille tai palveluille takuuta ellei informaatiota ole nimenomaisesti määritelty takuuksi tai WellStar muutoin täsmällisesti osoita vastuutaan laadusta tai kestoiästä. Tuotekuvaukset eivät edusta takuuta. 8. WellStar ei ota vastuuta tietokonekeskuksen tietoverkkojen, palvelimien tai tietoliikenneyhteyksien toimivuudesta tai verkkosivujen jatkuvasta käytettävyydestä. 9. Tuotevastuulain säädökset pysyvät voimassa. Osa 10 Palautuskulut peruutusoikeutta käytettäessä Jos syntyy BGB:n Osion 312d momentin 1 lauseen 1 mukainen palautusoikeus, ostajan täytyy kantaa tuotteen tavanomaiset palautuskulut käyttäessään peruutusoikeutta, jos palautettavan tuotteen hinta on alle 40,00 tai tuotteen hinnan ollessa korkeampi palauttaja tai ostaja ei ole vielä palautushetkeen mennessä tehnyt osamaksusuoritusta, eikä toimitettu tuote poikkea tilatusta. Kaikissa muissa tapauksissa WellStar kantaa palautuskulut. Osa 11 Keskeytyssäännöt käyttäjille, keskeytysoikeus Keskeytyssäännöt Keskeytysoikeus Jos ostaja on kuluttaja Saksan siviilioikeuden säädöskokoelman (BGB) osion 13 määrittelemällä tavalla, hän voi purkaa sopimuksensa kirjallisesti (kirjeitse, sähköpostitse) 14 vuorokauden kuluessa ilman syytä tai jos hän on vastaanottanut tuotteet ennen tämän määräajan täyttymistä palauttamalla ne. Aikaraja alkaa tämän kirjallisen huomautuksen vastaanottamisen jälkeen, mutta ei ennen kuin ostaja on myös vastaanottanut sopimuksen tai tilausvahvistuksen tai näiden kopion BGB:n osion 312b momentin 1 lauseen 1 määrittelemien etäsopimusten tapauksessa tai BGB:n osion 312e momentin 1 lauseen 1 määrittelemien sähköisten sopimusten tapauksessa, eikä ennen tavaroiden vastaanottamista (samojen tuotteiden toistuvien toimitusten tapauksessa ei ennen ensimmäisen osatoimituksen tapahtumista), tai tapauksessa jossa palveluita toimitetaan ennen sopimuksen tekoa, eikä missään muissa tapauksissa ennen kuin olemme täyttäneet tiedotusvastuumme BGB:n osion 2 kappaleessa 246 määritellyllä tavalla ja EGBGB:n osan 1 momenttien 1 ja 2 mukaisesti sekä myös täytettyämme vastuumme BGB:n osion 312 e momentin 1, lauseen 1 ja EGBGB:n kappaleen 246 osion 3 mukaisesti. Kohtuullisen peruutuksen tai tuotteiden palautusajan katsotaan sisältyvän keskeytysajan piiriin. Tuotteiden palautus tulee ohjata osoitteeseen: VideoPlus Europe Sp. z.o.o. ul. świerkowa 1a. Bronisze Ozarow Mazowiecki Poland Peruutuksen seuraukset Hyväksyttävissä olevan peruutuksen tapauksessa kummankin osapuolen saamat suorat ja välilliset hyödyt (korko) tulee palauttaa. Jos ostaja ei pysty palauttamaan saamiaan hyötyjä tai vastaanottamiaan etuja kokonaisuudessaan tai osittain tai ainoastaan huonokuntoisina, hänen on suoritettava sopiva korvaus aiheutuneesta arvonmenetyksestä. Palveluita tilattaessa tämä voi johtaa siihen, että ostajan on joka tapauksessa täytettävä sopimukselliset maksuvelvollisuutensa peruutusajankohtaan saakka. Luovutettujen tuotteiden arvoa ei tarvitse korvata, jos tuotteiden huonontuminen johtuu pelkästään tarkastusprosesseista jollaisia mahdollisesti ja tyypillisesti on tehty jälleenmyyjällä. Tuotteen käyttöönottamisesta aiottuun käyttötarkoitukseensa johtuvan arvonmenetyksen korvausvastuu voidaan välttää, jos ostaja ei käsittele tuotetta omaisuutenaan ja välttää kaikkea, mikä voi alentaa sen arvoa. Paketoitavissa olevat tuotteet palautetaan WellStarin riskillä. Ostaja on vastuussa tuotteen palautuskuluista, jos toimitetut tuotteet vastaavat tilausta ja jos palautettavan tuotteen hinta ei ylitä 40,00 tai tuotteen hinnan ylittäessä tämän summan peruutushetkellä ostaja ei ole vielä tehnyt vastasuoritusta tai sopimuksellista osamaksua. Muissa tapauksissa lähetyskulut ovat ostajalle veloituksettomia. Tuotteet, jotka eivät ole paketoitavissa, haetaan ostajalta. Korvaussummien maksut tulee suorittaa 30 vuorokauden kuluessa. Tämä määräaika alkaa ostajalle peruutusilmoituksen tai tuotteiden lähetysajankohdasta, WellStarille tositteen saamisesta. HUOMAUTUS: BGB:n osion 312d momentin 1 mukaisen peruutusoikeuden tapauksessa koskien etäsopimusta palvelun tuottamiseksi ostajan peruutusoikeus päättyy ennenaikaisesti, jos molemmat osapuolet ovat kokonaisuudessaan täyttäneet sopimuksen ehdot ostajan nimenomaisesta toiveesta ennen kuin ostaja on käyttänyt peruutusoikeuttaan. Keskeytyssääntöjen päättyminen Osa 12 Alaikäisten suojelu 1. WellStar haluaa rajoittaa sopimussuhteensa aikuisiin ostajiin. Ostaja on velvollinen vahvistamaan täysikäisyytensä. Ostajan tulee varmistaa, että hän itse tai täysikäinen tavaratoimituksen vastaanottajaksi valtuutettu henkilö todellakin ottaa tavaratoimituksen vastaan. 2. Ostaja vapauttaa WellStarin kaikista kolmannen osapuolen esittämistä vaateista koskien kohdassa 1 mainittuja ostajan vastuita. Osa 13 Muut määräykset 1. WellStar pidättää oikeuden siirtää kaikki sopimuksesta seuraavat oikeudet ja velvollisuudet toiselle yhtiölle. 7 Guidelines for Sales Partners of WellStar GmbH & Co. KG 1. General The prerequisites for being appointed as Sales Partner are described in the Guidelines for Sales Partners below. With his signature, the Sales Partner confirms that he has received a copy of and taken note of these terms and conditions. 2. Validity of the Guidelines for Sales Partners. 1. These Guidelines shall form part of all contracts concluded between WellStar and the Sales Partner, provided no deviating written agreements have been concluded by the parties. 2. Contractual terms stipulated by the Sales Partner or a third party shall not be deemed to be part of the contract, even if WellStar does not oppose the terms, unless WellStar consents to their validity in writing. 3. Modification of these Terms and Conditions as well as other Contractual Agreements 1. In the case of continuous contractual obligations, WellStar is entitled to use to equitable discretion ( 315 BGB) to modify or enhance these Guidelines for Sales Partners and any contractual agreements to which these Guideliness for Sales Partners apply, in particular the marketing plan, provided this modification or enhancement, which observes WellStar s interests, is deemed reasonable by the Sales Partner. WellStar is obliged to inform the Sales Partner by or any other means of communication of any modification or enhancement one month before it becomes effective. 2. The Sales Partner is entitled to oppose the modification within two weeks of receiving notification of the proposed modification/enhancement. If the Sales Partner does not raise his objections within the stipulated period of notice, then the contractual relationship shall be continued under the modified or extended conditions. WellStar shall notify the Sales Partner of this legal consequence. 3. In the event of an objection, WellStar shall be entitled to terminate the contract. 4. Sale of WellStar Products 1. WellStar products are exclusively sold in the Network Marketing sales network in the countries approved by WellStar. This is an individual-based referral business founded on the personal advice and support of customers and sales partners in their own field. This concept is not compatible with and it is therefore prohibited to sell products in publicly accessible commercial premises, e.g. in shops (irrespective of whether these are retail or wholesale businesses); in publicly accessible restaurants and catering facilities; at public information stands or the like; in pharmacies, health food shops and drugstores; in organic food stores; in flower shops; in mail-order businesses, including Internet marketplaces (such as Ebay or similar sites). An exception is only made for the internet marketplaces offered by or explicitly authorised by WellStar. 2. The aforementioned restrictions exclude sales partners who, as service providers, use WellStar s products to provide services to their customers. These sales partners are entitled to sell WellStar s products on the commercial premises, on which they provide their services. These commercial premises include, for instance, fitness and sport studios; cosmetics studios; wellness and beauty parlours; massage salons, including foot reflexology massage practises; manicure studios; tanning studios; hair-dressing shops; physiotherapy practises; the practises of state-certified health and nutrition consultants and chiropractors. 3. Sales partners running restaurants or catering business are entitled to offer and serve WellStar s products in their business in portions. The products may not, however, be put on display and/or sold for takeaway. 4. The sale and delivery of WellStar products to resellers who are not sales partners is not permissible. 5. Personal prerequisites for being appointed as a Sales Partner 1. Only natural persons who are over 18 years of age are eligible to become sales partners. Upon contract conclusion, suitable proof of age (e.g. an identity card) must be furnished at WellStar s request. Each individual may only conclude one sales partnership agreement, respectively. Only persons whose place of residence or registered office is in a country approved by WellStar are eligible to become sales partners. 2. Registering the application requires no initial order to have been placed. A user ID number can only by requested once. Married couples may request a joint user ID. 6. Position of the sales partner 1. The sales partner is an independent entrepreneur. He is neither an employee by nor a legal representative of WellStar, but instead an independent tradesman and must, as such, must create/fulfill the actual and legal prerequisites for performing his business. The sales partner is responsible for his own concluded business transactions. 2. In connection with his sales activities, the Sales Partner has continuously indicated that he is not employed by WellStar, but acts as an independent seller. The Sales Partner is not entitled to refer to himself as a franchisee, shareholder, authorised representative or employee of WellStar, nor to accept payment on behalf of WellStar. 3. Any use of the company logo or WellStar trademark by the sales partner requires WellStar s explicit consent, unless it is used within the scope of advertising measures authorised by WellStar. This applies in particular to the presentation of WellStar products on the Internet. The Sales Partner is prohibited from giving the impression through the content or design of his website that the contents displayed there are officially from WellStar. 4. WellStar s products may not be promoted in public (in the form of so-called outdoor advertising). Outdoor advertising is only permitted if it is displayed on or in residential houses or appartments or on privately used vehicles. Any form of outdoor advertising on or in commercially used premises is prohibited. Advertising measures authorised by WellStar shall remain unaffected by the aforesaid restrictions, in particular outdoor advertising for the commercial premises listed in 4.2. They do, however, require WellStar s prior consent. 5. The sales partner must use the official advertising materials issued by WellStar. The use of any other advertising materials must be agreed with WellStar in advance. 6. The sales partner is expressely forbidden from assigning any kind of curative or alleviating effects to products produced by Wellstar in his commercial transactions or to associate the products with disease-related advertising or healing statements. 7. Ban on competition: For the duration of the Sales Partnership Agreement, the sales Partner undertakes not to work as an employee or self-employed person, or in any other form for a company that is in direct competition with WellStar or one of its affiliates without obtaining WellStar s prior written consent. Such a competitive relationship is particularly deemed to exist when a company is involved in direct sales and/or network marketing or MLM. Similary, the sales partner is prohibited to found, acquire or have direct or indirect stakes in such a company without obtaining WellStar s prior written consent. Consent is precluded if the company concerned is from the wellness sector or if there is any refusal to sign a separate agreement pertaining to contractual penalties, which is imposed when there is a breach of the secrecy and non-solicitation provisions, in particular. 8. Commission payments due to the sales partner shall be calculated according to the marketing plan. 9. Subject to WellStar s approval, the sales partner is entitled to transfer rights and duties stemming from the sales partnership to his spouse or (another) heir, as long as the spouse/heir is not already a sales partner himself. WellStar may only deny its approval for important reasons. 10. In the event of the decease or resignation of a Sales Partner, a roll up shall occur, i.e. the deceased or retired Sales Partner shall be succeeded by a Sales Partner recommended by him. If the deceased or resigned Sales Partner has transferred his rights and obligations to a spouse/heir with WellStar s consent, then, with WellStar s consent, the spouse/heir shall replace the former Sales Partner in the downline and a roll up will not take place. WellStar may only deny its approval for important reasons. 11. A Sales Partner who has resigned may re-apply to become a Sales Partner. Upon conclusion of another Sales Partnership Agreement, the Sales Partner is not entitled to invite other sales partners from his former downline to switch to his new downline. 12. A Sales Partner who was already working for WellStar in this capacity, can only be registered as a sales partner six months after his former contractual relationship has ended at the very earliest. 13. The Sales Partner is entitled to recruit new sales partners. The Sales Partner may also recruit his spouse as a Sales Partner. The recruited persons may have their residential home or registered office in another country than the Sales Person who recruited them, as long as it is a country approved by WellStar. 14. The Sales Partner is obliged to preserve WellStar s interests. The Sales Partner may not undertake anything that may have a detrimental effect on WellStar s reputation. In particular, he must refrain from making any statements which could damage WellStar s business, be it in written or verbal

The Sales Partner promises to refrain from recruiting other sales partners or contractual partners of WellStar for the sales systems of other providers. The same applies to the recruitment of employees from companies with whom WellStar maintains business relations. This prohibition will apply for a period of six months after expiration of the contract. 16. The Sales Partner is obliged to make and keep backups of all data, which he then cedes to WellStar. If a data loss occurrs at WellStar, then the Sales Partner is obliged to provide the data and documents required for recovering the data free of charge. 17. The Sales Partner is obliged to observe the statutory provisions regarding the protection of personal data vis-à-vis WellStar and his customers, and in particular the Federal Data Protection Act. 7. Other duties of the Sales Partner 1. The Sales Partner is responsible for paying taxes on generated income (including VAT), social security contributions and other duties, resulting from his business transactions. 2. The value added tax on the commission he is due will only be paid out to the Sales Partner after he has submitted a signed application form, along with the following documents: - Copy of the business registration, - Proof of value added tax payments/liability (statement of the responsible tax office or tax consultant). 3. Commission, along with the value added tax, shall only be paid out, after provision of the documents listed above. 4. The Sales Partner promises to refrain from making negative statements about WellStar and its products (goods and services) for the duration of the contractual relationship as well as after termination of the contract. 5. Should the Sales Partner violate the obligation laid down in this contractual provision, then Wellstar will be entitled to cancel the contract. The Sales Partner shall then be obliged to indemnify Wellstar for damages resulting from those negative statements, including the assumption of lawyer s fees. 8. Commission 1. The Sales Partner shall be paid commission in accordance with the marketing plan. Commission payments shall be made on the 15th workday of the following month. 2. If a purchase is cancelled and, as a consequence, WellStar is obliged to refund the purchase price, then the Sales Partner will no longer be entitled to his commission and commission payments already made must be repaid. WellStar is entitled to choose whether it repayable commission payments are to be repaid or offset against future commission claims. 3. Online orders must be submitted to WellStar by p.m., at the very latest, on the last calendar of each month, for the commission to be taken into account. Orders submitted by fax must be received by WellStar by the last workday of each month. 4. All the Sales Partner s monetary claims will be deemed to have been satisfied with payment of the commission. There is not entitlement for the reimbursement of expenses, including travel expenses, postage and telephone charges. 9. Sales area The Sales Partner is only permitted to sell WellStar products in Germany, Austria, The Netherlands, Belgium, Italy, Poland, Hungary, Slovakia, Czech Republic, Romania, Finland, Sweden, Norway and Denmark in accordance with 3.1 of the General Terms and Conditions. 10. Warranty and Liability 1. Warranty and liability are governed by the relevant statutory provisions, provided the following provisions do not state otherwise. 2. WellStar is liable for intent and gross negligence. WellStar shall only be held liable for ordinary negligence in case of breach of a material contractual obligation (cardinal obligation) as well as damages arising from injury to life, body or health. The exclusion of liability shall not apply to the guaranteed quality or durability of items. 3. In cases that do not concern damages within the meaning of Item 10.2 Line 1, liability for ordinary negligence shall be limited to the extent of the forseeable damage that will typically occur in such cases. 4. WellStar shall not be liable for the loss of data and/or programmes, insofar as the damage resulted partly from the Sales Partner s failure to make backups of the data and to ensure the restoration of the data at justifiable cost. 5. The foregoing provisions also apply in favour of vicarious agents and WellStar s legal representatives. 6. The Sales Partner bears responsibility for third parties who, at his instigation or under his tolerance, work for him, as well as for any vicarious agents. 7. The regulations of the Product Liability Act shall remain unaffected. 8. WellStar provides no warranty for products or services, unless the term warranty has been explicitly labelled on it or WellStar explicitly assumes liability for a quality or the product s durability. Product descriptions do not constitute a warranty. 9. In the event of defective purchased item, WellStar is entitled choose whether to repair the defect free of cost or to deliver a defect-free product. If the remedy fails, then the Sales Partner is entitled to a reduction in purchase price. 10. If the Customer enters into default of acceptance or breaches any other duties to cooperate, then he must compensate WellStar for any damages that have arisen from this. Further claims for compensation by WellStar shall remain unaffected by this. 11. Confidentiality 1. The Sales Partner promises to maintain access data secret vis-à-vis unauthorised third parties. The Sales Partner is obliged to reimburse costs incurred from the unauthorised use of access data if and to the extent to which he is responsible for the unauthorised use. 2. Provided no other written agreement exists, the data and information which WellStar receives from the Sales Partner is not confidential. 3. As long as nothing else has been agreed in writing, WellStar is not obliged to return the data or documents it was given by the Sales Partner. In case WellStar returns the data or documents to the Sales Partner, the risk of loss, the deterioration or accidental loss of the documents shall pass over to the Sales Partner as soon as WellStar hands over the data or documents to the haulier, forwarding agent or any other person or agent responsible for the consignment. 4. The data, documents, communicated knowledge and experiences, and especially downline and upline appraisals passed on from WellStar to the Sales Partner may only be used for the purposes of the business relationship existing between WellStar and the Sales Partner and may not be provided to a third party, unless this has been envisaged by the provisions of this contract or unless the information is already known to the third party. 5. On termination of the contractual relationship, the Sales Partner is obliged to return all documents and data given to him by WellStar to WellStar, unless the Sales Partner purchased the data or documents. 12. Commercial communication and advertising 1. The Sales Partner is prohibited from making false or misleading statements about potential earnings and career opportunities at WellStar. The Sales Partner has the duty to point out to every person he recruits as a new sales partner that the earnings and carreer opportunities at WellStar are dependent upon individual effort and success. 2. When receiving telephone calls, the Sales Partner may not give the caller the impression on the phone or via his answering machine that he or she is connected with the company WellStar. The Sales Partner is prohibited from answering the phone with the company name WellStar. 3. The Sales Partner is not permitted to use the name WellStar when making an entry in the telephone or any other directory. 4. All events that are directly linked to the trade name WellStar, trademarks and/or products of WellStar, must receive WellStar s prior consent. 5. The Sales Partner promises not to use WellStar products within the context of commercial communication, and spam in particular, insofar as the recipient of the communication has not requested or consented to this, and insofar as no ongoing business relations exist between the Sales Partner and the recipient of the communication. Information sent by post (newsletters, the consignment of advertising brochures) is explicitly excluded from this prohibition. If the Sales Partner contravenes this clause, the WellStar is entitled to demand in writing that the Sales Partner refrain from committing the violation. In the event of another violation occurring, WellStar is entitled to

The Sales Partner is obliged to reimburse WellStar for all costs incurred through violation of the provisions laid down in the preceding paragraphs and to release WellStar from third party claims. 13. Use of Internet 1. The Sales Partner undertakes to only use the websites authorised by WellStar to sell and market WellStar s products. 2. The Sales Partner may only promote WellStar s own products and contents on his website. Links to external products, companies and contents, not belonging to WellStar, are not permitted. Furthermore, the website must be clearly seen to belong to the Sales Partner. The impression must not arise that that is Webstar s official website. 3. Should illegal content appear on the web pages of third parties after the Sales Partner has introduced a link to those pages, then the Sales Partner is obliged to remove the link or have it removed as soon as he becomes aware of the content. The Sales Partner has the duty to check at last every three months whether the websites that are linked to his own display illegal content. 4. The distribution of contents that is morally objectionable for children or adolescents on web pages offering or promoting WellStar s products is prohibited. 5. The Sales Partner releases WellStar from any liability or third party claims of any kind, arising from the unlawful nature of contents, which were stored on the Sales Partner s website with his consent. This duty also comprises the waiver of any judicial or extra-judicial costs for legal defence, including the cost of obtaining an expert opinion. 14. Non-compliance, default, termination of contract. 1. If the Sales Partner violates any obligations arising from the Guidelines for Sales Partners, then WellStar is entitled to demand the Sales Partner s compliance with the Guidelines for Sales Partners, while setting a reasonable time limit. If the Sales Partner does not return to behaviour or establish a situation that is in conformance with the Guidelines within the stipulated time period, then WellStar is entitled to cancel the Sales Partnership Agreement without notice and with immediate effect. 2. WellStar is also entitled to the rights listed in Item 14.1 if the Sales Partner is in arrears with due payment arising from the contractual relationship of more than EUR vis-a-vis WellStar and has not settled the outstanding amount within a reasonable grace period. If the Sales Partner fails to meet his payment obligations, even after being granted an additional grace period, then WellStar shall be entitled to cancel the Sales Partnership Agreement without notice and with immediate effect. 3. The right to extraordinary cancellation of this Sales Partnership Agreement remains unaffected by the aforementioned provisions. 4. Contract terminations must be made in writing. 5. The termination of contract does not exclude claims for compensation. 6. The parties are entitled to cancel the contract by mutual agreement at any time. WellStar may only refuse the Sales Partner s wish to cancel the contract if there is a compelling reason. 15. Contract Period 1. The Sales Partnership Agreement shall be concluded for an indefinite period. 2. The Agreement ends through cancellation, annulment or the death of the Sales Partner. 16. Data Protection 1. The Sales Partner will be informed that his name and address as well as other information required for performance of the contract will be stored. To the extent to which WellStar uses a third party to provide services which serve the contractual purpose, WellStar is entitled to disclose the data of the Sales Partner to the third party. 2. The Sales Partner is obliged to notify WellStar immediately of any changes to his details, and in particular to his name, address and bank details. Should the Sales Partner violate this obligation, he shall be liable for all damages arising from this breach of duty. In the event of a dispute, the Sales Partner is required to prove that he duly complied with his obligation to inform. 3. The Sales Partner agrees to make all sound and video recording, newspaper and press reports and any material provided in connection with WellStar s products or events available to to WellStar for promotional purposes. 17. Personal relations With his signature, the Sales Partner declares that he has no criminal record and also that no preliminary investigations have been instituted against him by the public prosecutor. Furthermore, he explicitly states that he is not a member of the Scientology movement, nor does he support it or its members. 18. Objections and compensation 1. Objections against the amount of WellStar s invoice must be made in writing by the payment date indicated in the invoice. 2. The Sales Parter may only use undisputed or legally determined claims to offset against WellStar s claims. 19. Conventions, postponement 1. Fom time to time, Wellstar will organise so-called conventions and other events in order to present and demonstrate the use of its products and sales system. 2. Tickets to the events are offered at an early stage, on which the venue and date of the event is generally printed. 3. Wellstar expressly reserves the right to change the venue and postpone the event for organisational reasons. 4. In case of postponement, WellStar shall inform the Customer immediately. The tickets issued previously will retain their validity for the new venue or date. 5. The option of having the ticket price refunded due to a change of venue or date is expressly ruled out. 20. Travel and other incentives 1. WellStar will, under certain conditions, offer its Sales Partners so-called incentives, as an award for past successes and an incentive for the future. These include travel, in particular, for which Sales Partners may qualify. Conventions and other events will be held on these trips to present and illustrate the use of WellStar s products and sales system. 2. Invitations or the qualification to participate in such trips or in other incentives will always be granted under the condition that, at the start of the trip or any other incentive, the Customer is still actively involved in WellStar as a Sales Partner. 3. Cash alternatives to the trip or other incentives offered can not be granted under any circumstances. 21. Final provisions 1. All contracts concluded between the Sales Partner and WellStar are subject to German law. The application of the United National Convention on Contracts for the International Sale of Goods (CISG), the Uniform Law governing the International Sale of Movable Goods, and the Uniform Law governing the Conclusion of International Sales Agreements for Movable Goods will be expressly excluded. 2. Insofar as the Customer is a merchant, a legal entity under public law or a federal special fund under public law or has no court of jurisdiction in Germany, then the court of jurisdiction for all disputes arising from this contract or in connection with this contract shall be the responsible court at WellStar s registered office. 3. At the end of the contract, WellStar is entitled to delete all data from the Sales Partner without making backups. 4. Should one or more of the provisions above be or become invalid, this shall not affect the validity of the remaining provisions. The same applies if there is a loophole in the provisions. In such a case, the parties are obliged to replace the invalid provision by a valid one which approximates as close as possible the economic intent of the invalid provision. Status: August 2014
