General Terms and Conditions (GTC) of WellStar GmbH & Co. KG 1 General WellStar GmbH & Co, Charlottenstrasse 4, 10969, Berlin, represented by the WellStar Beteiligungs GmbH of the same address, which in turn is represented by its Managing Director, Christian Wiesner, (hereinafter described as WellStar ) markets cosmetic, beauty and lifestyle products as well as nutrition supplements. 2 Scope 1. Provided the parties do not expressly make a different agreement, the following General Terms and Conditions apply exclusively to all contractual relations between WellStar and its customers (hereinafter described as buyers ), irrespective of whether or not the buyer is a consumer or an entrepreneur, an end customer or a distributor. 2. Contractual clauses imposed by the buyer or a third party cannot form part of the contract, even if WellStar not does object to the conditions or the buyer declares that s/he intends to carry out a contract only with the involvement of such conditions. This only applies not if WellStar expressly confirms in writing the validity of the buyer s or a third party s contractual conditions. 3 Conclusion of contract, prices 1. Offers and products displayed for sale by WellStar constitute only a non-binding invitation to the buyer to purchase goods from WellStar. All information on goods and offers displayed in catalogues, price lists, on websites of WellStar or in other publicized material by WellStar is subject to change. They only apply while stocks last. 2. The prices listed include German statutory VAT. Unless otherwise specified, the buyer shall pay the cost involved in the shipment, according to the amount indicated as part of the displayed offers or products. 3. Any customs duties, taxes and/or fees on imports, which are being levied by the recipient country to which the goods acquired by the receiver are sent, are to be borne by the buyer in the applicable height. Hence, with respect to possible import declarations to be carried out at the responsible customs office and payment of any applicable customs duties, taxes and/or fees the buyer is alone responsible. 4. By ordering the desired goods by filling out and sending the online form displayed in the internet by e-mail, fax, phone, in writing by order form or by post, the buyer is making a binding offer to conclude a purchase agreement. The offer becomes binding at the latest on receipt by WellStar. By sending the order to WellStar, the buyer gives assurance to be able to conduct business without restraint. 5. WellStar is not obliged to accept the buyer s offer or individual orders. This decision is at the sole discretion of WellStar. Should an order not be processed, WellStar will inform the buyer of this without delay and promptly reimburse any payments already made to the buyer. 6. WellStar shall inform buyers of their orders receipt, however this does not constitute an acceptance of the buyer s offer by WellStar. The contract does not become valid until WellStar has accepted the order by delivery of the goods or by issuing a notification of the dispatch made or by the order s or contract s confirmation. Any rights of the buyer to cancellation or withdrawal remain unaffected. 7. The services of WellStar are conditional on the assumption that the information supplied by the buyer when ordering is true. Should the buyer not comply with this condition, WellStar is entitled to withdraw from the contract. Any rights of WellStar in addition to and beyond such a case remain unaffected. 4 Delivery, Force majeure 1. Deliveries will be made to the address/delivery address supplied by the buyer; this applies solely to Germany, Austria, Switzerland, Italy, Portugal, Spain, The Netherlands, Belgium, Great Britain, Ireland, Finland, Sweden, Norway, Denmark, Poland, Estonia, Latvia, Slovakia, Hungary, Romania and Czech Republic. Force majeure, in particular labor disputes, governmental measures, scarcity of raw materials, traffic disruptions, unusual circumstances and similar exempt WellStar permanently from the obligation to deliver for the duration and the extent of its impact and when they lead to an impossibility of performance, irrespective of whether or not they have occurred at WellStar or at the suppliers, unless WellStar is responsible for the impact of such circumstances on WellStar s delivery capacity. The customer will immediately be informed about these circumstances and any counter-performance already realized will be reimbursed without delay. 5 Terms of Payment, Reservation of Title 1. Unless otherwise agreed, WellStar will only deliver products paid for in advance. 2. If deliveries are made against invoice, the amounts shown are due and payable immediately and without any deduction. Discount will not be granted. 3. The buyer does not assume ownership of the goods before the full purchase price has been paid. The buyer of the item purchased is entitled to its possession and contractual use for the period of reservation of title, provided s/he fulfills the payment obligations within the stipulated period. 4. Insofar as the buyer is not a consumer and s/he has not made the order as a natural person for purposes which can neither be attributed to his/her commercial nor to independent vocational activities, the following provisions shall apply beyond above section 4: The buyer is entitled to sell the goods as part of a normal business transaction. When s/he disposes of the goods that are subject to reservation of title, s/he, at this point, assigns the resulting claim to the purchase price in the amount of the value of WellStar`s invoice to WellStar. This assignment is to be made known on request. WellStar hereby accepts the assignment. 6 Complaints and Setting off 1. Objections based on content or amount of an invoice of WellStar must be claimed in writing against WellStar within 14 days as of receipt of the invoice. Legal claims that can also be asserted after the deadline are not affected. 2. The buyer can only set off WellStar claims if the claims are undisputed or legally established or if the buyer s claims are payment claims s/he is entitled to on the basis of the same order based upon which WellStar asserts claims against the buyer, due to defectiveness of its rendered services for which WellStar is responsible. 7 Warranty and Liability 1. Conditions of warranty and liability are determined by statutory regulations, in particular sections 434 et seq. of the German Civil Code (BGB), unless otherwise determined hereafter. 2. Obviously damaged packaging should be queried with the delivery service immediately on receipt. 3. WellStar is liable for intent and gross negligence. In cases of slight negligence, WellStar is only liable in the event of breach of those contractual obligations whose fulfilment enables the contract to be properly executed at all, where the customer routinely trusts and has reason to trust in such obligations being fulfilled (cardinal contractual obligations) and in cases of damage caused by injury to life, limb or health. Exclusion of warranty does not apply to the guaranteed condition or durability of items. 4. In the case of damage that does not result from injury to life, limb or health liability for negligence is restricted to the kind of damage that typically occurs during transactions of this kind. 5. The preceding regulations also apply for vicarious agents and legal representatives of WellStar. 6. WellStar does not accept liability for the functioning of data networks, servers or data lines to its computing centre or for the permanent availability of web sites. 7. The provisions of the Product Liability Act remain unaffected. 8 Data Protection 1. WellStar collects, stores and processes the data voluntarily supplied by the buyer solely according to the terms of the Federal Data Protection Act (BDSG) and the Tele Media Act (TMG) and only to the extent that this is necessary for the contract to be fulfilled. 2. Details on the method and extent of collection, storage, processing and transfer of client data are contained in WellStar s Data Protection Provisions, which the buyer can access and peruse in the current version via the link Data Protection on http://www.webstar.biz/default/index/contact/. 9 Protection of Minors 1. WellStar wishes to restrict its contractual relation to buyers who are adults. The buyer shall give assurance that s/he is of legal age. The buyer has to ensure that s/he him-/herself or an adult person authorized to receive the consignment in fact takes the delivery of the goods. 2. The buyer releases WellStar from any claims made by third parties that result from the breach of the buyer s obligations as described in subsection 1. 10 Right to cancellation / Cancellation Instructions for CONSUMERS according to section 13 of the German Civil Code (BGB) 1. A consumer is any natural person, who concludes a legal transaction for purposes which can be attributed mainly neither to their commercial nor independent vocational activity. 2. Cancellation Instructions Right to cancellation You have the right to cancel this contract within fourteen days without stating reasons. The cancellation period is fourteen days, starting on the day goods provided that you ordered one or more items within the scope of a single order and said items have been or are being delivered as a unit; last goods provided that you ordered multiple goods within the scope of a single order but the goods are being delivered separately; - on which you or a third-party other than the carrier and indicated by you takes possession of the final lot or the final piece provided that you ordered an item that is delivered in several lots or pieces; first goods provided that the delivery is made within the scope of an order for the regular supply of goods during a stipulated period of time. To exercise your right to cancellation, you must inform us (WellStar GmbH & Co. KG, Charlottenstraße 4, 10969 Berlin, telephone: +49 (0)30 47 37 28-0, e-mail: fi-support@wellstar.info) in the form of a clear statement (e.g. a letter sent by post, fax or e-mail) of your decision to cancel this contract. You may use the attached sample cancellation form for this purpose but doing so is not mandatory. Consequences of Cancellation If you cancel this contract, we must reimburse you all payments we have received from you, including delivery costs (with the exception of additional costs arising from your choice of a delivery method other than the most economical type of standard delivery offered by us) without undue delay and within 14 days as of the day on which we received notice of your cancellation of this contract. Unless otherwise agreed with you, we will use the same means of payment that you used for the original transaction to effect repayment; in any case no fees will be charged to you as a result of this repayment. We can withhold repayment until such time as the goods are restored to us or you provide proof that you have sent the goods back, whichever is earlier. You must send the goods back to or hand them to our logistics partner (Landmark Global (PL) Sp. z o.o.) without undue delay and in any case no later than within 14 days beginning on the day you notify us of the cancellation of this contract. For this purpose, please contact us and we can send you the return label with the return address and the return number and initiate the process for your return in our system. The deadline is met if you send back the goods before the 14-day period has expired. You will bear the direct costs of returning goods capable of being sent as a parcel. In the case of goods that you did not acquire under a contract concluded away from business premises and which cannot due to their nature normally be returned by post, you will bear the direct costs of returning the goods, whereby the costs are estimated as no higher than approximately 10. We will, at our own expense, collect goods that you acquired under a contract concluded away from business premises that had been delivered to your home at the time of conclusion of the contract and which cannot due to their nature normally be returned by post. You must accept responsibility for a possible diminishment in value of the goods only if the said diminishment of value is attributable to handling of the goods beyond that which is necessary to establish their nature, characteristics and function. Reasons for exclusion or expiry The right to cancellation does not exist in connection with contracts - for the supply of goods that are not ready-made and for the making of which an individual selection or specification on the part of the consumer is decisive or that are clearly tailored to the personal needs of the consumer; - for the supply of goods that can deteriorate rapidly or whose expiry date would be exceeded quickly; - for the supply of alcoholic beverages for which a price was fixed by contract but for which delivery could only take place after 30 days after the contract s conclusion and whose current value is subject to market fluctuations over which the contractor has no influence; - for the supply of newspapers, periodicals or magazines, with the exception of subscription agreements. The right to cancellation expires prematurely in connection with contracts - for the supply of sealed goods that are not suitable for return for reasons of health protection or hygiene if the goods were unsealed after delivery; - for the supply of goods if they were mixed with other goods after delivery in a way that is inseparable due to their nature; - for the supply of audio or video recordings or computer software in sealed packaging, if unsealed after delivery. 11 Right to cancellation for WellStar distributors 1. According to section 13 of the German Civil Code (BGB), distributors of WellStar are no consumers. 2. WellStar gives its distributors a voluntary 30-day right to cancellation. The cancellation period is 30 days in this case, whereby with respect to the starting date of the period, the exercise and consequences of the right to cancellation as well as the exclusion and expiry grounds the above ( 10) regulations shall apply mutatis mutandis to the right to cancellation for distributors. 12 Validity of Distributor Guidelines 1. If the buyer is a distributor of WellStar, the distributor guidelines apply in addition to these Terms and Conditions. 2. Regulations in the distributor guidelines take precedence over regulations in these Terms and Conditions. 13 Final Provisions 1. WellStar reserves the right to transfer all rights and obligations arising from a particular contract to another enterprise. This applies particularly to the right to assign any claims on the buyer to third parties, such as debt collecting agencies and as part of a factoring process. 2. Notwithstanding the binding provisions for protection of consumers, German law only shall apply to the contractual relationship. 3.
